AAC Clyde Space completes second tranche of directed share issue to Bonnier Capital

AAC Clyde Space AB (publ) has completed the second tranche of the previously announced directed share issue to Bonnier Capital, following receipt of the required approval from relevant authorities. The company has received SEK 49.7 million before transaction costs through the issue of 590,228 new shares at a subscription price of SEK 84.13 per share. As previously communicated, following completion of the second tranche, Bonnier Capital holds approximately 15.3% of the shares and votes and becomes AAC Clyde Space's largest shareholder.
The transaction forms part of the strategic investment announced on 15 December 2025. The investment structure consisted of two tranches of new shares and a directed issue of warrants to Bonnier Capital. The warrants may be exercised during the period 1 April-31 December 2026 and may provide AAC Clyde Space with additional proceeds of up to approximately SEK 40 million upon full exercise.
The first tranche was completed in December 2025, while the second tranche was approved by the Extraordinary General Meeting on 2 January 2026 and remained subject to regulatory approvals. Approval from the Swedish Inspectorate of Strategic Products (ISP) had previously been obtained, and the remaining U.S. approval has now been received.

The second tranche comprises 590,228 new shares. Following the issue, the total number of shares in AAC Clyde Space amounts to 7,752,875 and the share capital amounts to SEK 15,505,751.
